Job Description

1. Organizing and managing the General, Board and Committee Meetings, record minutes of all the Board, General and Committee Meetings of all Group Companies;
2. Initiate Board and Shareholder Communications;
3. Ensuring compliance of Company Law of UAE and other applicable legal and statutory compliance;
4. Advise the Board on its roles and responsibilities under various regulations governing the Group Companies;
5. Monitor corporate governance developments and assist the Board in tailoring governance practices for the Group;
6. Responsible for share issuance and transfer operations and maintaining the register of shareholders and monitoring changes;
7. Maintain key corporate documents and records for all Group Companies;
8. Dealing with correspondence, collating information and writing reports relating to the Group Companies and Shareholders;
9. Assisting the Group Chief Financial Officer in managing relationship with shareholders, Board of Directors, Regulatory Authorities and stock exchange;
10. Liaising with external regulators and advisers such as lawyers and auditors;
11. Coordinating with the Finance and Legal Team in the production of the interim and annual financial reports and its distribution to Shareholders;
12. Preparing Memorandum of Association of new companies and advising PRO on Amending Certificate of Establishment;
13. Review Contracts, Agreements, Shareholders Agreement and helping draft other minor legal documents and Contracts relating to Operation of Group Companies.

Essential Skills
 Minimum 5 years experience as a Corporate Secretary working at Board Level
 Qualified Chartered Secretary or a Law Graduate
 Well versed in company secretarial and corporate governance procedures
 Good knowledge of UAE Laws; specially Corporate Law
 Recent experience/currently located in the UAE
 Excellent verbal and written communication skills in English
 Proficiency in computer applications including MS Word, Excel, PowerPoint
